Project structure
One SPV. Three owners. Power at source.
Each project sits in its own special purpose vehicle (SPV), owned jointly by the landowner, the investor and the power buyer. Because the buyer is also an owner, the project can operate under a captive or group captive arrangement — giving the offtaker long-term, predictable clean power and a share in the asset that produces it.
01
Landowner
Contributes the project site and participates in ownership of the SPV.
02
Investor
Provides the equity capital to develop and build the project.
03
Offtaker
Takes an equity stake and buys the power under a long-term PPA as a captive or group captive consumer.
Captive / group captive
Under India’s captive power rules, captive users must hold a minimum ownership stake in the generating company and consume a minimum share of its output. Qualifying consumers can benefit from reduced open-access charges, subject to state regulations.
For offtakers
Long-term, fixed-tariff renewable power, progress towards sustainability targets, and part-ownership of the generating asset.
For EPC contractors
Projects with land, capital and — in Madhya Pradesh — offtake already secured, managed by a single development partner.
Amros Capital’s role
We originate and structure each project, bring the owners together in the SPV, and coordinate development, financing and execution through to commissioning.
